Terms of Service

These Terms of Service ("Terms") govern your access to and use of Closeout, a software-as-a-service application operated by Homewood Creations LLC ("we," "us") at app.closeout.business. By using Closeout, you agree to these Terms. If you do not agree, do not use the application.

Eligibility and accounts

Closeout is a business tool intended for use by employees and authorized representatives of organizations that subscribe to the service. You must be at least 18 years old and have authority to bind your organization to these Terms. Each user account is for a single individual; do not share credentials.

Acceptable use

• Do not use Closeout to violate any law, infringe anyone's rights, or send unsolicited communications.
• Do not attempt to access, probe, or interfere with the service, its infrastructure, or other organizations' data beyond what your role permits.
• Do not upload malware, illegal content, or anything you do not have the right to share.
• Do not reverse-engineer the application or its security controls.

Your content

You retain ownership of the project data, photos, and other content you upload to Closeout. You grant us a limited license to host, transmit, and display that content as necessary to operate the service for you. We do not claim ownership of your data and do not use it to train any model or for any purpose other than running the application.

Communications and notifications

You agree to receive transactional emails from us related to your account and the projects you have access to. If you opt in to SMS notifications by adding your phone number to your account, you agree to receive transactional text messages from Closeout about activity on your projects. Standard carrier message and data rates may apply. You can opt out at any time by removing the number from your settings or replying STOP to any message. See our Privacy Policy for details.

Service availability

We work to keep Closeout available and reliable but do not guarantee uninterrupted service. We may perform maintenance, apply updates, or make changes that briefly interrupt access. We are not liable for any losses arising from temporary unavailability.

Termination

Your organization's administrator can disable your account at any time. We may suspend or terminate accounts that violate these Terms, that present a security risk, or for nonpayment where a paid plan applies. On termination, your access ends immediately; your data is retained per the terms of the Privacy Policy.

Disclaimers

Closeout is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free or that any defects will be corrected. Project data is supplied by you and the people you grant access to; we are not responsible for the accuracy of that data.

Limitation of liability

To the maximum extent permitted by law, Homewood Creations LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with the service. Our total cumulative liability to you for any claim arising under or in connection with these Terms or the service will not exceed the amount you paid us in the twelve months preceding the claim, or one hundred US dollars ($100), whichever is greater.

Changes to these Terms

We may update these Terms as the service evolves. The "Last updated" date at the top reflects the most recent revision. Material changes will be communicated by email to account administrators. Continued use after changes take effect constitutes acceptance of the revised Terms.

Governing law

These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict-of-laws rules. Any dispute arising under these Terms must be brought in a state or federal court located in Salt Lake County, Utah, and you consent to the jurisdiction of those courts.
